Overview: You rsquo;ll be working as a Company Secretary in Company Matters, a member of MUFG Pension Market Services. Company Matters is one of the largest company secretarial providers in the UK and well-known for its expertise in corporate governance advisory service and company secretarial administration. As a Company Secretary, you will manage a varied portfolio of clients, including listed companies, providing end to end support, covering board-facing responsibilities, statutory and regulatory compliance, governance and best practice advice. You rsquo;ll be based on a hybrid basis from our central London office, so must be within a commutable distance to enable you to be in the office each week. Please note that we require demonstrable experience of working as a Company Secretary in the UK to ensure we can support our clients in the best possible way. This means you rsquo;ll really need the following skills: bull; The drive and desire to work in a fast-paced environment, balancing conflicting deadlines bull; Demonstrable UK experience in a listed company, board-facing and / or with investment trust experience bull; Exceptional verbal and written communication and influencing skills, enabling you to build and maintain relationships with intermediaries, third parties and key client contacts bull; Meticulous attention to detail, with excellent organisational and project management skills bull; The ability to remain calm under pressure with a proactive and flexible approach to your workload and the ability to remain calm under pressure bull; The ability to integrate into a dynamic team, working in a collaborative manner bull; Commercial awareness, with the drive and desire to contribute to a growing business bull; A CGI (chartered Governance Institute) qualified Company Secretary with demonstrable UK experience working in a Company Secretary role, ideally within a professional service environment or a desire to be part of one It would be nice to have: bull; Working knowledge of Diligent Entities (formerly lsquo;Blueprint rsquo;) and knowledge of working in other jurisdictions Day to Day: bull; Provide full support to private and listed company Boards and Committees, which will include attendance at meetings in a minute taking and advisory capacity bull; Ensure compliance with all Stock Exchange requirements, including listing, statutory and regulatory requirements, Stock Market announcements and compliance with Market Abuse Regulations (MAR) bull; Organise and manage the AGM (Annual General Meeting), in addition to other meetings, including the preparation of all relevant notices bull; Prepare and file the relevant statutory submissions and returns on behalf of clients bull; Provide advice and guidance on UK corporate governance best practice to a diverse portfolio of clients bull; Draft and review the non-financial section of Annual Reports and Accounts, preparing and filing of relevant statutory submissions and returns on behalf of clients and project managing the process where appropriate bull; Oversee, train and support more junior colleagues, enabling them to develop their career bull; Maintain corporate registers, Director details and records for client entities from a regulatory, statutory and governance reporting requirements perspective bull; Prepare, coordinate and release regulatory announcements on behalf of client companies using a range of RIS portals
